Important Notices

Proteus, LLC (“Proteus”) is an investment advisor registered with the U.S. Securities and Exchange Commission (“SEC”). Registration with the SEC or with any state securities authority does not imply a certain level of skill or training.  The information on this website has not been approved or verified by the SEC or by any state securities authority.  Proteus serves as an investment advisor and investment manager to pooled investment vehicles (“Funds”). These Funds invest primarily in other investment managers through Proteus’ proprietary investment platform.

This website does not constitute an offer to buy or sell, or a solicitation of an offer to buy or sell, any security, product, service or Fund, for which an offer can only be made to qualified investors in accordance with the terms and conditions set forth in a Fund’s Confidential Offering Memorandum (“Memorandum”) prepared by the Fund and the execution of a definitive subscription agreement.  Any investment decision with respect to an investment into a Fund should be made based upon the information contained in the Memorandum, the supplement(s) and the governing documents for the Fund (collectively, “Offering Materials”). In the event of any conflict between this website and the Offering Materials, the Offering Materials shall control. This website has been prepared solely for educational purposes. The information contained on this website is generally believed to be reliable, but no representation or warranty is given with respect to its accuracy or completeness.  The information contained on this website is subject to change without notice.  The information contained on this website may not contain all of the information you may desire about a Fund or Proteus.

The purchase of interests in a Fund is suitable only for sophisticated investors for whom an investment in a Fund does not constitute a complete investment program and who fully understand and are willing to assume the risks involved in a Fund’s investment program. The interests of a Fund will not be registered under the laws of any jurisdiction, including the United States Securities Act of 1933, as amended, or the United States Investment Company Act of 1940, as amended, the laws of any state of the United States, or the laws of any foreign jurisdiction, and may not be offered or sold without compliance with applicable securities laws. Funds may engage in leveraging and other speculative investment practices that may increase the risk of investment loss; can be highly illiquid; are not required to provide periodic pricing or valuation information to investors (unless otherwise required by the Fund’s governing documents); may involve complex tax structures and delays in distributing important tax information; are not subject to the same regulatory requirements as registered investment companies; and often charge high fees. An investor could lose all or substantially all of his, her, or its investment. Where securities are issued in a currency other than the investor’s currency of reference, changes in exchange rates may have an adverse effect on the value of the investment. Further, any number of conflicts of interest may exist in the context of the management and operation of a Fund. Before making a decision to invest in a Fund, prospective investors should carefully review the Fund’s Offering Materials, including the description of the risks, fees, expenses, liquidity restrictions and other terms of investing in a Fund.

Additional Information

No investment may be solicited, considered, affirmed, or completed unless pursuant to a Fund's Offering Materials and the execution of a definitive subscription agreement. Such documentation will contain full details of the offering of a Fund’s interests and a Fund’s investment strategy. A Fund will not accept any funds from a potential investor solely as a result of a review of this website, and any unsolicited funds will be returned.
